1. Acceptance of Terms

By accessing our website, engaging our services, or using our products (Business360, Review360), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use our services.

These Terms apply to all visitors, clients, and users of Jayamm' website and services. "Jayamm" refers to the company registered in Tamil Nadu, India.

2. Services

Jayamm provides technology services including custom software development, AI development, web and mobile development, SaaS products, and digital marketing. All service engagements are governed by a separate Service Agreement, which takes precedence over these general Terms in case of conflict.

We reserve the right to:

• Modify or discontinue any service at any time with reasonable notice
• Refuse service to any individual or organisation at our discretion
• Update service scope, pricing, or features for SaaS products with 30 days' notice

3. Payments & Refunds

Custom Projects: Payment terms are specified in the individual Service Agreement. Typical structure is 40% upfront, 40% at milestone, and 20% on delivery. Work will not commence until the initial payment is received. Payments are non-refundable for work already completed.

SaaS Products (Business360, Review360): Subscriptions are billed monthly or annually in advance. Monthly plans may be cancelled at any time with effect from the next billing cycle. Annual plans are non-refundable after the first 14 days. Refund requests within 14 days of the first payment will be honoured in full.

Late Payments: Invoices unpaid after 15 days from the due date may incur a late payment charge of 2% per month on the outstanding amount.

4. Intellectual Property

Custom Development: Upon receipt of full and final payment, all intellectual property rights in custom-developed software, designs, and content created specifically for you are assigned to you. We retain the right to use the project in our portfolio unless you request otherwise in writing.

Our Products & IP: Business360, Review360, and all Jayamm proprietary software, branding, and content remain our exclusive intellectual property. You are granted a limited, non-exclusive, non-transferable licence to use our SaaS products during your active subscription.

Third-Party Tools: Where we use open-source libraries or third-party tools in your project, the relevant third-party licences apply. We will disclose any such dependencies.

5. Confidentiality

Both parties agree to keep confidential all non-public information shared during the engagement, including business data, technical specifications, pricing, and strategies. This obligation survives termination of the agreement for a period of 3 years.

We will sign a mutual NDA upon request before sharing sensitive project details.

6. Limitation of Liability

To the maximum extent permitted by law, Jayamm shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, or business interruption, arising from your use of our services or products.

Our total liability for any claim arising out of or related to our services shall not exceed the total fees paid by you to us in the 3 months preceding the claim.

7. Warranties & Disclaimers

We warrant that:

• Our services will be performed with reasonable skill and care
• Our SaaS products will achieve 99.9% uptime (measured monthly, excluding scheduled maintenance)
• We have the right to provide the services described

We do not warrant that our services will be uninterrupted, error-free, or that any specific business outcome will result. Results depend on factors outside our control, including your implementation and market conditions.

8. Termination

Either party may terminate a service engagement by providing 30 days' written notice. In the event of termination:

• You will pay for all work completed up to the termination date
• We will deliver all completed work product to you
• Confidentiality obligations continue as per Section 5

We may terminate immediately if you breach these Terms, fail to make payment, or engage in conduct harmful to our business or reputation.

9. Governing Law & Disputes

These Terms are governed by the laws of India. Any dispute arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Tamil Nadu, India.
